About these terms

Axsona is operated by Pantas Software Sdn. Bhd. ("Pantas", "Axsona", "we", "us" or "our"). These terms apply to the Axsona public website, its content and the enquiry and scheduling links made available through it (together, the "Website").

If you do not agree to these terms, you must not use the Website. Additional terms may apply to a particular feature or project. If those additional terms conflict with these terms, the additional terms control for that feature or project.

Eligibility and authority

You must have legal capacity to accept these terms. If you use the Website for a company or other organisation, you confirm that you have authority to act for it and that both you and the organisation will comply with these terms.

The Website is intended for business users and is not directed to children. You must provide accurate information and must not impersonate another person or misrepresent your affiliation with an organisation.

Website and services

The Website explains Axsona’s synthetic-population simulation services and allows prospective clients to request a discussion. Accessing the Website, booking a call or exchanging preliminary information does not create a client, advisory, fiduciary, employment, partnership or other professional relationship.

Availability and changes

We may add, change, suspend or withdraw any Website content or feature. We do not promise that the Website or any specific service, price or delivery date will be available in every jurisdiction or at all times. We may restrict access where reasonably necessary for maintenance, security, legal or operational reasons.

Engagements and fees

A booking, enquiry, proposal or discussion is not a binding order unless the parties sign or otherwise accept a separate written agreement. The scope, inputs, deliverables, timing, fees, taxes, payment terms, intellectual-property rights, data handling and any service levels for an Axsona project will be set out in that agreement.

Each party bears its own evaluation and negotiation costs unless agreed otherwise. If a project agreement conflicts with these Website terms, the project agreement controls for that project.

Acceptable use

You may use the Website only for lawful information and business-evaluation purposes. You must not:

• access or test systems, accounts or data without permission;
• interfere with security, availability, performance or another person’s use;
• introduce malware, harmful code or material designed to disrupt a system;
• use bots, scripts, scraping or other automated means to extract content or data without written permission;
• reverse engineer, bypass controls or attempt to discover non-public source code;
• submit unlawful, deceptive, infringing, defamatory or harmful material; or
• use the Website in breach of privacy, confidentiality, export-control, sanctions or other applicable law.

We may block or limit use that we reasonably believe breaches these terms or creates security, legal or operational risk.

Information, materials and feedback

You remain responsible for information you submit and confirm that you have the rights and permissions needed to provide it. You retain ownership of your materials. You grant Pantas a limited, non-exclusive right to receive, store, reproduce and use them to respond to your request, evaluate a potential project, operate and secure the Website, and comply with law.

If you voluntarily provide suggestions or feedback about Axsona, Pantas may use them without restriction or payment, provided this does not grant Pantas ownership of your confidential information or personal data. Client data, project inputs and deliverables are governed by the relevant project agreement.

Do not submit confidential, regulated, sensitive or engagement-specific personal data through a general Website or scheduling channel. Use only the process agreed with Axsona.

Proprietary rights

The Website and its design, text, software, graphics, illustrations, trademarks, trade names, methods and other content belong to Pantas or its licensors and are protected by applicable intellectual-property laws. Pantas grants you a limited, revocable, non-exclusive and non-transferable right to view the Website for legitimate business evaluation.

Except where law expressly permits it, you may not copy, modify, publish, distribute, sell, license, create derivative works from, reverse engineer or commercially exploit the Website or its content without prior written permission. No right to Pantas or Axsona names, logos, marks, software, models, datasets or methods is granted by implication.

Confidentiality

Where the parties exchange non-public information while evaluating or carrying out a potential project, each party will use reasonable care to protect information marked confidential or reasonably understood to be confidential. It may be used only for that evaluation or project and shared only with personnel and advisers who need it and have suitable confidentiality duties.

Confidentiality obligations do not cover information that was lawfully known without restriction, becomes public without breach, is lawfully received from another source or is independently developed. A party may disclose information where required by law, subject where lawful to reasonable notice and cooperation.

This section does not replace a non-disclosure agreement or the confidentiality terms of an Axsona project agreement.

Security

Axsona uses administrative, technical and organisational measures intended to protect systems and information. Our approach to vulnerability management, access controls, monitoring, data protection and responsible reporting is described in the Axsona Security Policy.

No internet transmission or storage method is completely secure. You are responsible for protecting your own systems and access credentials. Suspected security issues should be reported responsibly and must not be exploited or publicly disclosed before Axsona has a reasonable opportunity to investigate.

Privacy, cookies and third parties

Our Privacy Policy explains how Pantas handles personal data connected with Website visits, enquiries and scheduling. By submitting information, you confirm that it is accurate and that Pantas may process it for the purposes described there.

The current Website does not use optional advertising or analytics cookies. Essential technical storage may be used where necessary to provide or secure a feature. If this changes, we will update the Privacy Policy and provide any consent mechanism required by law.

The Website may link to services operated by others, including Google scheduling and LinkedIn. Their own terms and privacy practices apply. A link does not mean that Pantas controls, endorses or accepts responsibility for the third-party service, its content or its availability.

Representations and warranties

You represent and warrant that you have authority to accept these terms, your use is lawful, your materials are accurate to the best of your knowledge, and providing them does not infringe intellectual-property, privacy, confidentiality, contractual or other rights.

Pantas represents that it has authority to make the Website available. Other than rights and warranties that cannot lawfully be excluded, no additional representation, warranty or commitment is made.

Illustrative outputs and disclaimer

Unless clearly stated otherwise, simulations, participant profiles, figures, scenarios and outputs shown on the Website are illustrative. Directional, group-level findings from a simulated population are not measured customer data or a forecast of conversion. They do not guarantee an outcome and should not be the sole basis for a commercial, financial, legal, regulatory or other material decision.

To the fullest extent permitted by law, the Website is provided “as is” and “as available”. We do not warrant uninterrupted availability or that content will always be complete, current, accurate, secure or error-free. You remain responsible for evaluating information and decisions made using it.

Limitation of liability and indemnity

To the fullest extent permitted by law, Pantas and its officers, employees, contractors and agents will not be liable for indirect, incidental, special, exemplary, consequential or punitive loss, or loss of profit, revenue, data, goodwill, opportunity or anticipated savings, arising from Website use, inability to use it or reliance on its content.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. Liability relating to an Axsona client project is governed by the applicable project agreement.

To the extent permitted by law, you will indemnify Pantas against third-party claims, losses and reasonable costs arising from your unlawful misuse of the Website, your material breach of these terms or your infringement of another person’s rights.

Governing law and disputes

Before starting formal proceedings concerning these terms, a party must give written notice describing the dispute and allow the other party 30 days to respond and attempt a good-faith resolution. This does not prevent either party from seeking urgent interim relief where reasonably necessary.

These terms are governed by the laws of Malaysia, without regard to conflict-of-law rules. Subject to any mandatory law, the courts of Malaysia have exclusive jurisdiction.

General terms

Notices

Questions or legal notices about these terms may be sent to the applicable Axsona or Pantas business contact channel. Electronic notices are effective when received, provided the sender does not receive a delivery-failure message.

Assignment and relationship

You may not assign these terms without Pantas’s written consent. Pantas may assign them in connection with a reorganisation, financing, merger, sale or transfer of its business or assets. Nothing in these terms creates a partnership, joint venture, agency, employment or fiduciary relationship.

Severability, waiver and entire agreement

If a provision is unlawful or unenforceable, it will be limited or removed only to the minimum extent necessary and the remainder will continue. Delay in enforcing a right is not a waiver. Headings are for convenience only. These terms and the Privacy Policy are the entire agreement concerning the public Website and replace prior statements on that subject.

Updates

We may amend these terms by posting an updated version and changing the date above. Changes apply from publication unless applicable law requires another process. Continued use after publication means you accept the updated terms.
